Terms of service
Last updated: 14.10.2026
This is a translation. The German Allgemeine Geschäftsbedingungen are the binding version and prevail.
1. Scope
These terms and conditions apply to all contracts for the use of the hosted service Eigenlaut between the provider named in the imprint ("we") and the customer.
Eigenlaut is offered exclusively to entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law. By accepting these terms, the customer confirms that it uses the service for its commercial or independent professional activity. We do not enter into contracts with consumers.
Deviating or additional terms of the customer apply only if we expressly agree to them in text form.
The self-hosted edition of Eigenlaut, which the customer runs on its own infrastructure, is not covered by these terms.
2. Services
Eigenlaut manages the Gmail signatures of a Google Workspace organisation centrally. In the customer area the customer designs signature templates, assigns them to people through rules (for example by organisational unit, group, department or address), previews them for individual people and transfers the signatures, filled with the details from its Google directory, into the mailboxes of its organisation, once or on a schedule. This includes time-limited campaigns, test runs without changes, roles for members and an audit log. eigenlaut.app describes the current scope of functions.
The signature Eigenlaut sets applies to e-mails newly composed in the Gmail web interface. Other programs, such as the Gmail apps for mobile devices or other e-mail programs, use their own signature settings. Gmail sanitises a signature's HTML itself and limits its length, so what Gmail stores may differ from the template. If a person changes their signature themselves, the next run overwrites the change.
A prerequisite is that a super administrator of the customer grants our service account access in the Google Admin console for the scopes shown in the customer area (domain-wide delegation). Without this authorisation we cannot read or write signatures.
3. Conclusion of the contract and account
The customer registers when a person signs in to the customer area with their Google Workspace account and so creates the organisation. During setup, before Eigenlaut first accesses the customer's Google directory, the person carrying out the setup expressly accepts these terms and the data processing agreement. This concludes a contract for the use of Eigenlaut under these terms, initially for the free trial. This person must be authorised to represent the customer. We store who accepted (e-mail address), when, and which version (privacy policy).
The customer takes out a paid subscription in the customer area: it chooses monthly or yearly payment and enters its billing and payment details on the order page of our payment provider Stripe. By clicking the order button the customer makes a binding offer; we accept it with the confirmation on the order page or by e-mail.
Each Google Workspace organisation can have only one Eigenlaut account.
4. Trial
The first 30 days after registration are free and require no payment method; during this time the customer can use all functions. The trial ends automatically and does not turn into a paid subscription by itself. Each Google Workspace organisation gets it only once: if the customer deletes its organisation and creates a new one for the same Google Workspace organisation, the end of the first trial applies.
If the customer takes out a subscription during the trial, the obligation to pay begins at the end of the trial; in the last 48 hours of the trial it begins on purchase.
There is no free use after the trial. Without a subscription the contract ends with the trial, and the section Contract end and deletion applies.
5. Prices and managed mailboxes
The prices shown on the pricing page and on the order page when the subscription is taken out apply. All prices are net, plus statutory VAT. For customers in another EU member state with a valid VAT identification number, the customer owes the VAT under the reverse-charge procedure.
The price depends on the number of managed mailboxes. A managed mailbox is a user of the Google Workspace organisation to whom, under the customer's rules, a signature template was assigned in the last live transfer run (test runs do not count). Further sending addresses (aliases) of the same user are not counted separately. At least 10 mailboxes are charged.
After each completed live transfer run we adjust the quantity in the subscription to the number of managed mailboxes. We charge additional mailboxes pro rata for the rest of the current billing period; we credit fewer mailboxes pro rata against future invoices.
We announce price changes for running subscriptions in text form at least six weeks before the start of the next billing period. The customer may then terminate with effect from the date the change takes effect; we point this out in the announcement.
6. Payment and invoices
Fees are due in advance for each billing period (month or year). Payment runs through Stripe with the payment methods offered on the order page. The customer manages payment and billing details in Stripe's customer portal, which it reaches from the customer area.
We provide invoices electronically. The customer agrees to receive invoices in an electronic format that is not a structured e-invoice (such as PDF) for as long as VAT law permits this; after that it receives e-invoices in the format required by law.
If the customer is in default with a payment, we may, after an unsuccessful reminder with a deadline of at least 14 days, block the transfer of signatures until the outstanding amount has been paid. Further rights remain unaffected.
7. Term and termination
A subscription with monthly payment runs for one month and renews by one further month each time. A subscription with yearly payment runs for twelve months and renews by twelve months each time. Either side can terminate a subscription with effect from the end of the current billing period; the customer in Stripe's customer portal or in text form to contact@eigenlaut.app, we in text form with 30 days' notice.
The right to terminate for good cause remains unaffected. Good cause for us is in particular when the customer misuses the service, for example to access other customers' data, or is in default with payments for two billing periods.
8. Contract end and deletion
Without a running subscription the contract ends when the trial ends or, if a subscription ends later, when the subscription ends, for example after termination with effect from the end of the billing period. If the customer, after deleting its organisation, created a new one whose trial had already expired at setup (trial), the contract ends with the setup unless a subscription is taken out.
From the end of the contract Eigenlaut no longer transfers signatures into the mailboxes. Until the deletion the customer can still view, edit and copy templates, rules and campaigns in the customer area, view previews, start test runs, download the audit log and take out a subscription; with the subscription the contract continues and the deletion no longer applies.
If the customer takes out no subscription, we delete its organisation with all of its data 30 days after the end of the contract. The customer can delete it itself earlier at any time (in the customer area under "Delete organisation"); we then delete it at once. What is deleted and what we keep for legal reasons is set out in the section Deletion and return of the data processing agreement and in the privacy policy.
After the end of the contract the customer withdraws our service account's access in the Google Admin console; the signatures last set remain in the mailboxes until the customer changes them.
9. Customer obligations
The customer
- grants and maintains the authorisation in the Google Admin console for the scopes shown for as long as it uses the service, and keeps its Google Workspace organisation in a state in which access is possible;
- ensures that it may process the data of its employees and other users of its organisation with Eigenlaut, in particular that it has a legal basis, informs the data subjects and, where required, respects the rights of an employee representative body;
- is responsible for the content of templates, campaigns and company details, including the mandatory information in business e-mails and the rights to logos, images and texts;
- checks new or changed templates and rules before transferring them, for example with a preview or a test run;
- gives access to the customer area only to its own staff or agents, assigns roles as needed, removes members who should no longer have access, and protects its members' Google accounts appropriately, for example with two-factor authentication;
- does not misuse the service: no malicious content in templates, no attempts to access other customers' data or to circumvent security measures, no load or security tests without our prior consent;
- informs us without delay if it notices misuse of its account or a security vulnerability.
10. Rights of use
For the term of the contract we grant the customer the simple, non-transferable right to use Eigenlaut for its organisation's own purposes. The data and content the customer enters remain the customer's; we use them only to provide the service to the customer.
11. Availability and changes to the service
We operate Eigenlaut with the care of a prudent businessperson and strive for high availability. We do not promise any particular availability or response time. We carry out maintenance at times of low use where possible.
The service depends on third-party services we cannot influence, in particular Google's interfaces and quotas and Cloudflare's operation. We are not liable for outages or restrictions of these services for which we are not responsible.
We may develop and change the service if the core functions owed under the contract are preserved and the change is reasonable for the customer. If Google changes its interfaces, quotas or approval conditions so that we can no longer provide the service, or only to a limited extent, we may adapt the service accordingly or terminate the contract with reasonable notice; we refund fees paid in advance for the period after that pro rata.
12. Customer content and notices of illegal content
We do not check in advance the content customers store in templates and campaigns. We accept notices of illegal content electronically at contact@eigenlaut.app. We confirm receipt, review the notice promptly and inform the notifier and the customer concerned of our decision with reasons. We may block content that is manifestly illegal or endangers the security of the service.
13. Liability
We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the Product Liability Act and to the extent of any guarantee given.
For slight negligence we are liable only for the breach of an essential contractual obligation, that is an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose fulfilment the customer may regularly rely. In that case liability is limited to the damage typical for the contract and foreseeable at its conclusion.
For loss of data we are liable only up to the effort that restoring it would have taken if the customer had made regular backups. The customer can view and copy templates and rules in the customer area at any time.
Otherwise our liability is excluded. The limitations of liability also apply to our employees and agents. Liability under Art. 82 GDPR remains unaffected.
14. Data protection
Where we process personal data from the customer's Google Workspace for the customer, we do so as a processor under the data processing agreement. It forms part of every contract under these terms. How we process data as a controller in our own right, for example for sign-in and billing, is described in the privacy policy.
15. Confidentiality
Both sides treat non-public information of the other side received under the contract as confidential and use it only for the contract. This continues after the contract ends. Excepted is information that is public without a breach of this obligation or that one side must disclose because of a legal or official obligation.
16. Changes to these terms
We may change these terms with effect for the future if there is a valid reason, such as a change in the law, in Google's interfaces or in the service, and the change does not unreasonably disadvantage the customer. We announce the change in text form at least six weeks before it takes effect. If the customer does not object within this period, the change is deemed accepted; we point this out specifically in the announcement. If the customer objects, either side may terminate the contract with effect from the date the change takes effect.
17. Final provisions
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
If the customer is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from the contract is our registered seat. We may also sue the customer at its general place of jurisdiction.
Declarations under these terms require text form (for example e-mail) unless otherwise provided.
The German version of these terms prevails.
